Board of Directors Officer Descriptions

President

The president shall be the principal executive officer of the Corporation and shall in general supervise and control all of the affairs of the Corporation. The president shall preside at all meetings of the Board of Directors and shall be the Chairman of the Board. The president may sign, with the secretary or any other proper office of the Corporation authorized by the Board of Directors, any deeds, mortgages, contracts, or other instruments which the Board of Directors have authorized to be executed, except in cases where the signed and execution thereof shall be expressly delegated by the Board of Directors or by these by-laws or by statute to some other officer or agent of the Corporation; and in general shall perform all duties incident to the office of president and such other duties as may be prescribed by the Board of Directors from time to time.

The President is the chair of BioInterface.

President Elect

The president-elect shall assist the president with scientific program details as requested and shall automatically become president. The president-elect shall become president at the Annual Business Meeting.

Vice President

The vice president shall assist the president and the president-elect with scientific program details as requested.

The Vice President is the chair of the BioInterface Workshop. 

The Vice-President shall be the chairperson of the Awards and Nominations Committee.  The chair shall appoint two committee members from the Supporting, Academic or Individual members. The Committee shall nominate persons for offices in the Corporation and awards according to procedures established by the Board of Directors.

The Vice-President can appoint other volunteers to coordinate events.


Treasurer

The treasurer shall have charge and custody of and be responsible for all funds and securities of the Corporation; receive and give receipts for moneys due and payable to the Corporation from any sources whatsoever, and deposit all such moneys in the name of the Corporation in such banks, trust companies or other depositories as shall be selected in accordance with the provisions of these by-laws; and in general perform all the duties incident to the office of treasurer and such other duties as from time to time may be assigned to him or her by the president or by the Board of Directors.

Bookkeeping is currently maintained by staff. The treasurer oversees that financials are kept up to date and presents financial statements at the monthly board meeting.

Secretary

The secretary shall keep the minutes of the meetings of the Board of Directors in one or more books provided for that purpose; see that all notices are duly given in accordance with the provisions of these by-laws or as required by law; be custodian of the corporate records, the by-laws, and of the seal of the Corporation and see that the seal of the Corporation is affixed to all documents, the execution of which on behalf of the Corporation under its seal is duly authorized in accordance with the provisions of these by-laws; and in general perform all duties incident to the Office of the secretary and such other duties as from time to time may be assigned by the president or by the Board of Directors.

Staff currently takes minutes and maintains them in a folder available to all Board of Directors.

Marketing

As marketing director your primary function is to focus on Surfaces in Biomaterials Foundation marketing and communications strategies, as well as overall branding and image.  Working with staff to prepare annual marketing plans, create a calendar of campaigns and events, and work with the Treasurer to set the marketing budget. 

Academic Member Representative

Entitled to ¼ vote on each matter submitted to a vote of the members.

Individual Member Representative

Entitled to ¼ vote on each matter submitted to a vote of the members.
